The Role

OpenTrain is seeking an M&A Corporate and Securities Attorney to review realistic deal scenarios, due diligence materials, and AI-generated legal outputs. You will apply expert legal judgment to corporate, governance, and securities issues, identify material risks, spot cross-document inconsistencies, and explain corrections clearly.

This is a part-time contractor opportunity requiring 20 or more hours per week. Compensation is $80 to $100 per hour, paid in USD.

What You'll Do

You will evaluate legal materials and model-generated analysis with attention to accuracy, relevance, materiality, and consistency. Your feedback will help improve AI legal reasoning across corporate and transactional questions.

  • Review M&A transaction scenarios and due diligence materials
  • Evaluate AI-generated legal outputs for accuracy and relevance
  • Identify material issues, significant risks, and inconsistencies across corporate records
  • Provide clear written feedback on corporate, governance, securities, and deal-process questions
  • Use judgment informed by live-deal experience and virtual data room workflows
  • Explain corrections in a structured and analytically rigorous way

Requirements

Applicants should have a JD and active bar membership, or an equivalent legal qualification, along with experience handling M&A, corporate, venture, or securities matters. The role calls for strong legal writing, analytical reasoning, ambiguity spotting, and the ability to identify governance or disclosure issues in due diligence materials.

  • Strong legal writing and analytical reasoning skills
  • Strong written legal analysis and structured feedback skills
  • Familiarity with virtual data rooms such as Datasite, Intralinks, or Ansarada
  • Comfort evaluating AI-generated legal outputs and explaining corrections

Preferred Experience

Familiarity with virtual data room workflows is preferred. Prior exposure to AI-assisted legal review tools is a plus, particularly for candidates who can assess model outputs and communicate precise corrections.
