The role

OpenTrain is recruiting an M&A Corporate & Securities Attorney to review realistic transaction scenarios, due diligence materials, and AI-generated legal outputs. You will use your deal experience to identify material risks, cross-document inconsistencies, and governance or disclosure issues, then provide clear, structured written feedback to improve model performance.

  • Contract, part-time engagement: 20+ hours per week.
  • Pay: $80–$100 per hour (PAY_PER_HOUR).
  • Work is worldwide-eligible and remote; English proficiency required.

What you'll do day-to-day

Your core tasks combine legal review with annotation and evaluation: you will read transaction scenarios and virtual data room materials, assess AI outputs for accuracy and relevance, and deliver concise corrections and explanations that train models to spot real-world problems.

  • Review M&A transaction scenarios and due diligence materials.
  • Evaluate AI-generated legal outputs (text generation) and rate accuracy (evaluation/rating).
  • Identify material issues, governance problems, and cross-document inconsistencies.
  • Provide clear written feedback on corporate, governance, securities, and deal-process questions.
  • Apply judgment informed by live-deal experience and virtual data room workflows.

Requirements

You must meet the core professional qualifications and be able to produce concise, structured legal critiques suitable for training models.

  • JD and active bar membership, or equivalent legal qualification (required).
  • Background in M&A, corporate, venture, or securities matters.
  • Experience reviewing corporate governance documents and spotting ambiguity and disclosure issues.
  • Strong legal writing, analytical reasoning, and the ability to produce structured feedback.
  • Familiarity with virtual data rooms (Datasite, Intralinks, Ansarada) preferred.
  • Comfort reviewing and explaining corrections to AI-generated legal outputs; prior exposure to AI-assisted legal review tools is a plus.
