The Role

OpenTrain is seeking a Corporate Law AI Evaluation Expert to design sophisticated evaluation tasks for AI systems working with corporate transactions and governance. The work spans M&A, capital markets, corporate governance, commercial contracts, restructuring, and regulatory review.

You will translate senior corporate-law experience into realistic scenarios, reference outputs, transaction documents, client or regulatory-facing narratives, and quality standards. The emphasis is on practical legal experience and nuanced judgment.

What You’ll Do

You will construct and evaluate realistic corporate-law tasks based on major transactions, complex negotiations, regulatory processes, and governance decisions. Assignments may involve US or international legal frameworks and the tools used in modern transaction workflows.

• Construct scenarios involving large-scale M&A, multi-party negotiations, regulatory review, governance processes, and restructuring
• Build tasks across deal structuring, securities and capital markets, corporate governance, commercial contracts, and corporate restructuring
• Create scenarios involving legal research tools, virtual data rooms, contract lifecycle management platforms, and document automation systems
• Apply due diligence, deal-structuring, and regulatory-filing methodologies
• Work with Delaware corporate law, SEC rules, the Model Business Corporation Act, the UK Companies Act 2006, and EU company-law directives
• Produce reference legal memoranda, transaction documents, and client- or regulatory-facing narratives
• Author rubrics that distinguish authentic corporate-law judgment from generic legal knowledge

Required Qualifications

You should bring substantial direct experience handling corporate legal work and the ability to explain, evaluate, and document sophisticated legal reasoning. The role requires practical familiarity with transaction execution, corporate governance, regulatory review, and legal research workflows.

• Five or more years of experience as a corporate attorney or general counsel
• Experience at a major law firm, investment bank, or corporation
• Direct ownership of M&A transactions, corporate governance matters, or securities filings
• Strong knowledge of corporate-law methodologies, regulatory approvals, antitrust or HSR review, and board or shareholder oversight
• Fluency in corporate-law research and transaction workflows
• Experience with tools such as Westlaw, Lexis, virtual data rooms, and document automation systems
• Ability to produce transaction documents, legal memoranda, and nuanced evaluation rubrics

Helpful Professional Background

The following experience is valuable for evaluating legal AI work across multiple jurisdictions and transaction contexts. A professional legal credential is strongly preferred, while prior experience creating structured guidance can further support the role.

• Knowledge of Delaware General Corporation Law
• Knowledge of SEC regulations
• Knowledge of the Model Business Corporation Act
• Knowledge of the UK Companies Act 2006 or EU company-law directives
• JD with bar admission
• Solicitor or Qualified Lawyer status in England and Wales
• Equivalent professional credential
• Prior authorship of legal rubrics, training curricula, transaction documentation, or structured legal guidance
