The Role
OpenTrain is seeking a Funds and M&A Contract Review Attorney to support legal AI training and evaluation. You will work with simulated negotiations, redlining exercises, and AI-generated contract scenarios involving fund-related and other M&A agreements.
The role is designed for an experienced funds attorney who can deliver precise, consistent assessments and translate practical legal expertise into clear feedback for AI systems.

What You'll Do
You will evaluate legal reasoning and contract interpretation across a range of structured AI training exercises. Your assessments will help refine the data, evaluation standards, and guidance used in AI-driven contract review.
Perform simulated contract negotiations and redlining exercises involving fund-related and other M&A agreements
Review AI responses to contract scenarios
Provide precise feedback on legal analysis, risk identification, and contract interpretation
Create objective evaluation frameworks and grading criteria for contract-related AI tasks
Help refine review data, guidelines, and best practices for AI-driven contract review solutions
Collaborate with product and research teams while maintaining rigorous and consistent legal assessments
Required Qualifications
This opportunity requires a strong foundation in funds law, contract review, and transactional practice. Candidates must be able to identify contractual risk carefully and explain legal assessments in a clear, consistent, and actionable way.
J.D. from an ABA-accredited law school
Active bar admission in at least one U.S. jurisdiction
At least two years of experience in the funds department of a corporate law firm
Familiarity with LPAs, subscription agreements, side letters, and standard M&A agreements
Strong written and verbal communication skills
Strong analytical judgment and meticulous attention to detail
Ability to evaluate AI-generated legal responses and explain consistent grading criteria clearly
Helpful Background
Prior exposure to AI, legal technology, or training initiatives is helpful but not required. Experience working with cross-disciplinary teams and a demonstrated interest in the intersection of law and technology can support effective contributions to model evaluation and contract-review guidance.
