The Role

You will review complex commercial agreements in M&A diligence workflows and produce structured annotations and written rationales that improve AI outputs for transaction professionals.

The focus includes commercial leases and related contract types; your practical judgment will be used to separate material contract risk from boilerplate and to evaluate severity in realistic deal scenarios.

What You'll Do

  • Review complex commercial agreements within M&A diligence workflows and virtual data rooms.
  • Identify and annotate provisions such as change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal.
  • Differentiate material contract risk from standard boilerplate and explain your reasoning in concise written analysis.
  • Deliver structured written feedback and summaries to support AI systems used by transaction and deal teams.
  • Evaluate severity of issues in realistic M&A transactions and apply practical, transaction-focused judgment.

Requirements

This role requires 5+ years of commercial contract drafting, negotiation, or diligence review and extensive experience reviewing contracts in virtual data rooms during live M&A transactions.

You must hold a JD with active bar membership or an equivalent legal qualification, and demonstrate strong written and verbal communication skills.

  • Experience identifying deal-risk provisions including change-of-control, assignment, and termination mechanics.
  • Experience conducting or managing diligence at a major firm or in managed review.
  • Ability to produce clear written analysis distinguishing material risk from boilerplate.
  • English language proficiency required.

Helpful Background

While not required, preferred experience includes commercial contract annotation, familiarity with SaaS or technology commercial agreements, and exposure to contract analytics tools.

Attention to detail in structured review work and a track record of explaining complex legal risk concisely are strong advantages.

Time, Compensation, and Engagement

This is a contract, part-time role estimated at 20+ hours per week. Pay is on an hourly basis at USD 90–100 per hour.

OpenTrain will engage you as a contractor on the project; work is remote and available worldwide. Assignment types include document annotation, entity NER/classification, evaluation rating, and text summarization for legal documents.
