The role
We are seeking a Private Equity Legal Review Attorney to review and annotate complex transaction documents for AI training. You will analyze transactional agreements, identify risk areas, draft sample language, and provide precise, structured feedback so models learn from high-quality legal reasoning.
This is a part-time contractor role requiring 20+ hours per week. Work is remote and worldwide in English. Compensation is hourly pay between $90–$130 USD per hour (typical top rate $130/hr).
Provide structured legal feedback and risk summaries that models can learn from.
Draft sample contract clauses and alternative language to illustrate negotiation options and best practices.
Benchmark agreement standards and flag unusual or high-risk provisions.
Synthesize complex legal concepts into clear annotations and short explanations suitable for training text-generation models.
Collaborate with other legal reviewers and follow provided annotation guidelines and quality standards.
Requirements
You must have strong, demonstrable experience in private equity, funds, or transactional law. We expect accuracy, legal precision, and clear written communication appropriate for producing training data that models will emulate.
8+ years in private equity, investment funds, M&A, or asset management legal practice (required).
Experience reviewing and annotating MSAs, SPAs/APAs, LPAs, DPAs, side letters, NDAs, and related transactional documents.
Ability to analyze credit agreements, banking documents, SaaS/cloud services agreements, and IP or technology licenses.
Strong legal writing, contract-analysis skills, and precision in drafting and feedback.
Ability to identify risk areas and draft sample clauses with sound contract-drafting judgment.
JD from an accredited law school strongly preferred; LLM considered with exceptional relevant experience.
Helpful background
Experience with technology transactions, cloud services, cybersecurity, or data privacy is beneficial and will help with more technical document types.
Familiarity with data privacy and cybersecurity clauses.
Experience advising investment funds, banks, or technology companies is a plus.
