The Private Equity Legal Review Attorney Role
OpenTrain is seeking an expert Private Equity Legal Review Attorney to review and annotate complex transaction documents for AI training. The work covers transactional agreements and fund matters across private equity, investment funds, M&A, asset management, banking and finance, technology transactions, and data privacy.
You will provide structured legal feedback, evaluate contractual language, draft sample clauses, identify risk areas, and help benchmark agreement standards so models learn from precise, high-quality legal input.

What You’ll Review and Produce
The project involves careful analysis of a broad set of agreements and legal materials. Your work will require strong judgment, precise written communication, and the ability to synthesize complex legal concepts for structured AI-training tasks.
Review and annotate MSAs, SPAs, APAs, DPAs, LPAs, side letters, and NDAs
Analyze credit agreements and banking documents
Evaluate SaaS and cloud services agreements
Review leases, employment agreements, and IP or technology licenses
Assess contractual language and identify material risk areas
Draft sample clauses and structured legal feedback
Help benchmark agreement standards for AI training
Collaborate with other legal professionals
Required Qualifications
This is an expert-level legal review role for an attorney with substantial private equity, investment funds, M&A, or asset management experience. A JD from an accredited law school is strongly preferred. An LLM may be considered when paired with exceptional relevant experience.
8 or more years of legal practice in private equity, investment funds, M&A, or asset management
Deep familiarity with transactional documents and fund agreements
Experience reviewing and annotating MSAs, SPAs, APAs, LPAs, DPAs, side letters, and NDAs
Ability to analyze credit agreements, banking documents, SaaS or cloud services agreements, and IP or technology licenses
Strong legal writing, contract analysis, and drafting judgment
Ability to identify contractual risks and draft sample clauses
Ability to synthesize complex legal concepts
Precision in written feedback and communication
Ability to work collaboratively with other legal professionals
JD preferred; LLM considered for exceptional relevant experience
