The Role

OpenTrain is seeking a Corporate Development M&A Transaction Specialist to complete structured exercises using realistic mock transaction materials. You will apply practical M&A expertise to produce clear, decision-ready analysis that follows project guidelines and quality standards.

This remote contractor opportunity requires approximately 15 hours per week and pays $100 per hour.

What You'll Do

You will work independently with self-contained mock CIMs, diligence reports, term sheets, board decks, and related transaction materials. The work requires sound judgment, careful analysis, and the ability to explain conclusions clearly.

• Build three-statement, DCF, trading comparables, transaction comparables, accretion-dilution, cap table, and equity waterfall models.
• Draft and compare IOIs, LOIs, term sheets, bid comparisons, deal structures, and consideration economics.
• Produce management presentations, data packs, buyer universes, board materials, committee materials, closing mechanics, and funds flow analyses.
• Conduct deal screening and diligence work, synthesize findings, and develop synergy models, carve-out analyses, and 100-day plans.
• Explain analytical judgments clearly and deliver work that meets detailed project guidelines and quality standards.

Requirements

This role requires substantial practical corporate development or M&A experience and the ability to own transaction analysis from beginning to end. You should be comfortable evaluating complex deal materials, comparing terms, and developing recommendations for senior decision-makers.

• At least four years of in-house corporate development or M&A experience at an operating company.
• Hands-on ownership of live transactions from end to end.
• Strong financial modeling, transaction analysis, written communication, and attention to detail.
• Ability to build the valuation and merger models listed in the role responsibilities.
• Judgment in comparing transaction terms and structuring recommendations.
• Ability to synthesize diligence findings and produce board-ready recommendations.
• Investment banking, private equity, Big Four transaction advisory, or financial due diligence experience is a useful additional qualification.
