- Review and redline master services agreements, nondisclosure agreements, data processing agreements, and similar contracts.
- Identify material legal and commercial issues.
- Decide on preferred company positions and acceptable fallback language.
- Write clear explanations connecting each redline or revision to the relevant legal or business concern.
- Apply contract drafting, negotiation, and technology transactions knowledge to document review.
- Keep your interpretations consistent and maintain high standards for legal writing and accuracy.
- Work independently in a remote, deadline-driven setting.
What it pays and takes
This is a remote, part-time contractor engagement. The role requires professional fluency in English and is open to candidates in the countries listed for the project, including the United States, Canada, the United Kingdom, India, and other countries across multiple regions.
- Pay: $90 to $110 per hour.
- Schedule: 20 or more hours per week.
- Required: Juris Doctor degree from an accredited law school.
- Required: Active admission to practice law in a U.S. jurisdiction.
- Required: At least four years of transactional practice at a law firm or in-house.
- Required: Substantial experience drafting, reviewing, and negotiating commercial contracts.
- Important knowledge: limitation of liability, indemnification, confidentiality, and data protection provisions.
- Strong ability to explain complex legal concepts in clear, actionable writing.
- Sound judgment, close attention to detail, and accurate contract interpretation are required.
- Helpful: Technology transactions experience, commercial agreement negotiation, and experience applying legal playbooks.
